• Maintenance & Support: Ongoing website maintenance, hosting, and technical support services.

• Training & Workshops: Educational services related to digital marketing and web technologies.

All services are provided subject to these terms and any additional service-specific agreements.

Some of our services may require you to create an account:

• You are responsible for maintaining the confidentiality of your account credentials.

• You must provide accurate, complete, and up-to-date information during registration.

• You are fully responsible for all activities that occur under your account.

• You must immediately notify us of any unauthorized use of your account.

• We reserve the right to suspend or terminate accounts that violate these terms.

• You may not reproduce, distribute, modify, or create derivative works without our written consent.

• Client work and deliverables become the property of the client upon full payment, unless otherwise specified.

• We retain the right to use general methodologies, know-how, and experience gained from projects.

• Any feedback or suggestions you provide may be used by us without compensation to you.

Payment terms for our services are as follows:

• All fees are quoted in Canadian dollars unless otherwise specified.

• Payment is due according to the payment schedule outlined in your service agreement.

• Late payments may be subject to interest charges and service suspension.

• Refunds are handled on a case-by-case basis according to our refund policy.

• Disputed charges must be reported within 30 days of billing.

• We reserve the right to change our pricing with 30 days' notice for ongoing services.

We strive to provide reliable and high-quality services:

• Website hosting uptime target: 99.9% excluding scheduled maintenance.

• Support response times: Business hours (9 AM - 6 PM EST, Monday-Friday).

• Emergency support: Available for critical issues affecting live websites.

• Scheduled maintenance will be communicated at least 48 hours in advance.

• Service credits may be available for extended outages as outlined in service agreements.

• Performance metrics and SLA details are specified in individual service contracts.

Your privacy and data protection are important to us:

• Our Privacy Policy governs the collection and use of your personal information.

• We implement industry-standard security measures to protect your data.

• Client data will not be shared with third parties except as required by law.

• You retain ownership of your content and data provided to us.

• We maintain confidentiality of all client information and business details.

• Data backup and recovery procedures are in place to protect against loss.

To the maximum extent permitted by applicable law:

• InnovaXD shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

• Our total liability for any claims shall not exceed the amount paid by you for the specific service.

• We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

• You acknowledge that technical issues, downtime, or data loss may occur despite our best efforts.

• Third-party integrations and services are subject to their own terms and limitations.

• Force majeure events are excluded from liability claims.

Either party may terminate services under the following conditions:

• Either party may terminate with written notice as specified in the service agreement.

• We may terminate immediately for breach of these terms or non-payment.

• Upon termination, you remain liable for all charges incurred up to the termination date.

• We will provide reasonable assistance in data export and service transition.

• Certain provisions of these terms will survive termination, including payment obligations.

• Refunds, if applicable, will be processed according to our refund policy.

Any disputes arising from these terms or our services will be resolved as follows:

• Initial attempts should be made to resolve disputes through direct communication.

• Mediation may be pursued before formal legal proceedings.

• Disputes will be governed by the laws of Ontario, Canada.

• Legal proceedings must be initiated within one year of the dispute arising.

• Both parties agree to act in good faith during dispute resolution processes.

• Attorney fees may be awarded to the prevailing party in legal disputes.

We reserve the right to modify these terms at any time:

• Material changes will be communicated via email or website notice.

• Changes take effect 30 days after notification unless you object in writing.

• Continued use of our services constitutes acceptance of modified terms.

• We will maintain previous versions of terms for reference.

• You may terminate services if you disagree with modified terms.
